Section I – General Terms & Conditions (All Users)



1. Operator

TowerLingua is operated by LYYK UG (haftungsbeschränkt), registered in the Handelsregister Berlin under HRB 276551 B, headquartered at Donaustraße 115, 12043 Berlin, Germany, represented by Managing Director Koumèni Karmelle.


2. Scope

These Terms apply to all visitors, registered users, students, and tutors using the TowerLingua platform. By accessing or using the Platform, you accept these Terms.


3. Accounts

Users must register with accurate and truthful information. Accounts are personal and non-transferable.


4. Intellectual Property

All platform content (design, software, brand) belongs to TowerLingua. Unauthorized reproduction or distribution is prohibited.


5. Liability

TowerLingua acts solely as a technical and commercial intermediary. Lessons are delivered by independent freelance tutors. TowerLingua is not responsible for the content, quality, or outcomes of lessons.


6. Data Protection

Personal data is processed in accordance with the GDPR and BDSG. See our Privacy Policy.


7. Governing Law & Jurisdiction

These Terms are governed by German law. Jurisdiction is Berlin, unless mandatory consumer law provides otherwise.


8. Force Majeure

TowerLingua shall not be liable for disruptions caused by events beyond its reasonable control (höhere Gewalt).

AI Liability Disclaimer (Artificial Intelligence Usage)




1. Use of AI Tools



The LYYK platform may integrate artificial intelligence (AI) functionalities developed in partnership with Hearsay or other third-party providers. These tools are designed to enhance the learning and teaching experience, for example by providing automatic feedback, suggestions, translations, or content generation.


Use of these AI features by students, tutors, or any other users of the platform is entirely voluntary and at the user’s own discretion.





2. No Warranty



While LYYK and its technology partners strive to ensure the quality, accuracy, and reliability of the AI systems,

we do not guarantee that AI-generated outputs will be accurate, complete, appropriate, or error-free.


The AI tools are provided "as is” and "as available,” without any express or implied warranties, including but not limited to warranties of accuracy, reliability, or fitness for a particular purpose.





3. User Responsibility



By using AI features on the platform, the user (tutor or student) acknowledges and agrees that:


  • They are solely responsible for how they use, interpret, and apply AI-generated content or suggestions.
  • They will not rely exclusively on AI outputs for teaching, learning, or decision-making.
  • They will comply with all applicable laws, academic integrity rules, and platform guidelines when using AI tools.






4. Limitation of Liability



Neither LYYK, Hearsay, nor any of their affiliates, directors, employees, or contractors shall be held liable for:


  • Any errors, omissions, or inaccuracies produced by the AI tools;
  • Any direct, indirect, incidental, or consequential damages resulting from the use or misuse of AI features;
  • Any loss of data, profit, opportunity, or reputation arising from AI outputs or user reliance thereon.



Each party expressly disclaims all liability related to the AI functionalities, to the fullest extent permitted by law.





5. Shared Disclaimer Between Parties



LYYK and Hearsay operate as independent entities.

Neither party shall be held responsible for:


  • The other’s use, deployment, or performance of AI technologies;
  • Any claims, damages, or disputes arising from the user’s (tutor’s or student’s) interaction with AI tools;
  • Any third-party use or interpretation of AI-generated content.



In all circumstances, both LYYK and Hearsay disclaim joint or several liability for any event arising from the use of AI features within or outside the platform.





6. User Acceptance



By using the platform and engaging with AI functionalities, users acknowledge that they:


  • Have read and understood this AI Liability Disclaimer;
  • Accept full personal responsibility for their use of the technology;
  • Release LYYK, Hearsay, and all associated entities from any and all claims related to AI performance, results, or content.





In short:

This clause ensures that LYYK and Hearsay cannot be held liable for any harm, misunderstanding, or issue resulting from how a student or tutor uses the AI.

It shifts all responsibility to the end user, protecting both companies completely.

These Terms & Conditions ("Terms”) govern the purchase and use of services on the TowerLingua platform, operated by LYYK UG (haftungsbeschränkt), registered in Germany under HRB 276551 B, headquartered at Donaustraße 115, 12043 Berlin, legally represented by its Managing Director, KOUMENI Karmelle ("TowerLingua”, "we”, "us”, "our”).


By creating an account, purchasing services, or using the TowerLingua platform, you ("Student”, "User”, "you”, "your”) agree to be legally bound by these Terms.





1. Definitions



  • Platform: the TowerLingua website and related services.
  • Student/User: any individual using the Platform to purchase and attend lessons.
  • Teacher: an independent freelance service provider delivering lessons through the Platform.
  • Individual Lesson: a one-on-one tutoring session between a Student and a Teacher.
  • Group Class: a live class with multiple participants (maximum 6 students).
  • Workshop: a live interactive session with no participant limit.
  • Lesson Pack: a prepaid bundle of lessons or credits offered by TowerLingua.
  • Wallet: a virtual account allowing Students to store credits and purchase lessons individually.
  • Credits: virtual units stored in the Wallet, used as payment for lessons.






2. Services



TowerLingua provides access to online language lessons delivered by independent freelance teachers.

TowerLingua acts solely as a technical and commercial intermediary and is not the employer of the teachers.


Teachers are solely responsible for the content, preparation, and delivery of lessons, including the choice of teaching materials. TowerLingua does not guarantee the quality, accuracy, or suitability of such materials.


Students may consult reviews and ratings of Teachers, but these reflect subjective opinions and do not constitute a guarantee of quality by TowerLingua.





3.  Pricing and Payment Terms




1. Language Classes and Pricing



Tower Lingua offers both Group Classes and Private Classes in English, German, Spanish, Italian, and French. Prices are set per student and include a platform contribution plus applicable transaction fees.



English Group Classes



  • Standard Plan – 1 class per week (4 per month): €24 / month
  • Regular Plan – 3 classes per week (12 per month): €72 / month
  • Intensive Plan – 5 classes per week (20 per month): €120 / month



Private English Classes – 45 minutes, one-to-one: €19 / class



German Group Classes



  • Standard Plan – 1 class per week (4 per month): €32 / month
  • Regular Plan – 3 classes per week (12 per month): €96 / month
  • Intensive Plan – 5 classes per week (20 per month): €160 / month



Private German Classes – 45 minutes, one-to-one: €25 / class



Spanish Group Classes



  • Standard Plan – 1 class per week (4 per month): €32 / month
  • Regular Plan – 3 classes per week (12 per month): €96 / month
  • Intensive Plan – 5 classes per week (20 per month): €160 / month



Private Spanish Classes – 45 minutes, one-to-one: €20 / class



Italian Group Classes



  • Standard Plan – 1 class per week (4 per month): €44 / month
  • Regular Plan – 3 classes per week (12 per month): €132 / month
  • Intensive Plan – 5 classes per week (20 per month): €220 / month



Private Italian Classes – 45 minutes, one-to-one: €23 / class



French Group Classes



  • Standard Plan – 1 class per week (4 per month): €44 / month
  • Regular Plan – 3 classes per week (12 per month): €132 / month
  • Intensive Plan – 5 classes per week (20 per month): €220 / month



Private French Classes – 45 minutes, one-to-one: €25 / class





2. Payment Conditions



  • All prices include a contribution and transaction fees. This ensures smooth platform operation, long-term sustainability, fair pay for teachers, and secure transactions.
  • Payments must be made in advance of classes.
  • Subscriptions (group classes) are billed on a monthly basis.
  • Private classes are charged per session.
  • Bank transfers are available only to residents of the European Union (EU) or SEPA countries. Other students are required to use the available online payment methods.

3.3 Workshops



  • Special interactive sessions with no participant limit.
  • Prices vary depending on the event and are displayed at the time of booking.



Pricing Notes:


  • All prices are not inclusive of VAT where applicable.
  • Prices may vary depending on Teacher, language, or promotions.
  • TowerLingua reserves the right to update its prices at any time. Updates do not affect lessons already booked and paid.






4. Wallet & Credits



  • Wallet balance is denominated in credits or euros.
  • Credits are personal, non-transferable, and non-refundable.
  • Credits are valid for unlimited from purchase, after which they expire without refund.
  • Wallet balance cannot be converted into cash.






5. Payment



  • Payments are processed securely through third-party providers (e.g., Stripe, PayPal).
  • Payment must be completed before a lesson can be booked.
  • In case of failed or reversed payments, TowerLingua reserves the right to suspend access to the Platform.






6. Right of Withdrawal



  • Under EU consumer law, Students have a 14-day withdrawal right from the date of purchase.
  • If a lesson is scheduled or attended within this period, the Student expressly agrees that the withdrawal right is waived for the portion already delivered.






7. Lesson Cancellation & Rescheduling



  • Student Cancellation and Refund Policy

  • 1. Introduction
  • This cancellation and refund policy applies to all courses offered on the LYYK platform, including individual lessons and group classes.
  • By booking a session, the learner acknowledges and agrees to the terms below.
  • This policy reflects our commitment to providing a flexible, transparent, and human-centered service.

  • 2. Individual Lessons (45 minutes)
  • Learners may cancel their lesson up to 24 hours before the scheduled start time.

  • If canceled within this period, 80% of the lesson fee will be automatically refunded to the learner’s wallet.

  • Cancellations made less than 24 hours before the start time are non-refundable, except in exceptional circumstances (illness, emergency, or technical issues) reviewed by our support team.

  • If a lesson could not be properly scheduled by the platform, 80% of the fee will be refunded.

  • 3. Group Classes (50 minutes)
  • Learners may cancel their participation up to 24 hours before the start of the class.

  • Cancellations made within this period are refunded at 80% to the learner’s wallet.

  • Cancellations made after this period are non-refundable, as the reserved seat cannot be reassigned.

  • If the class is canceled by the tutor or the platform, a full refund (100%) will be issued.

  • 4. Absences and Delays
  • If a learner is absent or arrives more than 15 minutes late without notice, the session is considered completed and non-refundable.

  • If the tutor fails to attend without notice, the session will be fully refunded.

  • 5. Force Majeure
  • In the event of exceptional circumstances (technical problems, illness, natural disaster, etc.), a reschedule or refund may be granted upon review by our support team.

  • 6. Refund Process
  • Refunds are made to the learner’s wallet within 48 hours after approval.

  • Upon request, the refunded amount may be transferred to the original payment method, subject to any applicable transaction fees.

  • 7. Effective Date and Updates
  • This policy takes effect on October 17, 2025, and may be updated at any time.
  • Any changes will be published on LYYK’s official website.

  • 8. Policy Spirit

  • Our aim is to foster trust, respect, and understanding between learners and tutors.
  • Each case will be reviewed with care to ensure fairness and a positive learning experience for everyone.

Tutor Cancellation and Refund Policy

1. Introduction

This policy applies to all tutors teaching on the LYYK platform.
It defines the procedures and consequences in case a tutor needs to cancel a scheduled lesson or group class.
Our goal is to maintain reliability, transparency, and fairness for both tutors and learners.

Tutors are encouraged to cancel as early as possible if they are unable to conduct a booked session for any reason.


2. General Rules

When a tutor cancels a class, the student(s) will be automatically refunded in full (100%).
The tutor’s availability and reliability are key factors for maintaining student trust and the quality of service on the platform.


3. Cancellation Windows and Consequences

More than 24 hours before class

🟢 No consequences

  • You can cancel the class freely if done more than 24 hours before the scheduled start time.

  • We will find a replacement tutor when possible.

  • There will be no negative consequences for you.


Less than 24 hours before class

🟠 Penalty

  • Since it becomes difficult to find a replacement, a 7-day penalty will apply.

  • During this penalty period, you will be unable to book or open new classes in your schedule.

  • This does not affect your existing scheduled lessons, only your ability to add new ones.


Less than 3 hours before class

🔴 Penalty and explanation required

  • If you cancel less than 3 hours before the class, it will be automatically canceled for students.

  • You will receive a 7-day penalty, and you must submit an explanation to the LYYK Support Team.

  • Repeated last-minute cancellations may result in temporary suspension or review of your teaching status.


4. Emergency and Force Majeure

We understand that unexpected events can occur (illness, accidents, technical issues, family emergencies, etc.).
If you need to cancel due to an emergency, please inform the support team immediately and provide a short explanation.
Each case will be reviewed individually and handled with fairness and understanding.


5. Punctuality and Attendance

  • Tutors are expected to join their classes on time.

  • If a tutor is more than 15 minutes late without notifying the student or support, the class may be marked as missed, and students will receive a full refund.

  • Repeated lateness may impact tutor ratings and account standing.


6. Refunds for Students in Case of Tutor Cancellation

  • Any class canceled by the tutor (for any reason) will be fully refunded (100%) to the student’s wallet.

  • Students may then reschedule the class with the same tutor or another available teacher.

  • LYYK will prioritize supporting both sides to find a convenient solution.


7. Policy Spirit

This policy is designed to ensure fairness, professionalism, and reliability on the LYYK platform.
We understand that unforeseen circumstances happen — our goal is to manage them transparently while keeping the learning experience smooth and trustworthy for all users.

8. Student Obligations



Students agree to:


  • Use the Platform lawfully and respectfully.
  • Not bypass TowerLingua to contract directly with Teachers (anti-circumvention clause).
  • Not harass, abuse, or engage in illegal conduct.
  • Not share account details or permit third-party use.



TowerLingua may suspend or terminate accounts violating these Terms, without refund.





9. Technical Requirements



Students are responsible for:


  • Maintaining adequate internet connectivity and equipment (computer, microphone, camera).
  • TowerLingua is not liable for service disruption caused by insufficient equipment or poor internet connections on the Student’s side.






10. Intellectual Property



  • All Platform content (design, logo, interface, software) is the exclusive property of TowerLingua and protected by copyright.
  • Students may not reproduce, copy, or distribute Platform content without prior written consent.
  • Teachers remain owners of their pedagogical materials but grant Students a limited right to use them solely for personal learning.






11. Liability



  • TowerLingua provides only technical access and payment services.
  • Lessons are under the sole responsibility of Teachers.
  • TowerLingua’s liability is limited to the amount paid by the Student for the disputed service.
  • TowerLingua is not liable for indirect damages, learning outcomes, or technical disruptions beyond its control.






12. Force Majeure



TowerLingua shall not be held responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, strikes, government actions, or large-scale internet disruptions.





13. Termination



  • Students may close their account at any time.
  • TowerLingua may suspend or terminate accounts that breach these Terms.
  • Upon termination, any unused Credits, Packs, or booked lessons are forfeited, except where required by law.






14. Severability



If any provision of these Terms is found invalid, the remaining provisions shall remain enforceable.





15. Entire Agreement



These Terms constitute the entire agreement between TowerLingua and the Student, superseding any prior agreements or representations.





16. Governing Law & Jurisdiction



  • These Terms are governed by the laws of Germany.
  • Exclusive jurisdiction lies with the courts of Berlin, unless mandatory consumer law dictates otherwise.






17. Dispute Resolution



In accordance with EU law, Students may access an independent consumer mediation service in case of disputes. Details will be provided upon request.

Section III – Tutor Agreement (Freelance Teachers)

This Tutor Agreement ("Agreement”) sets forth the terms under which independent freelance teachers ("Tutor”, "you”) provide services through the TowerLingua platform, operated by LYYK UG (haftungsbeschränkt), registered in the Handelsregister of Berlin under HRB 276551 B, with its registered office at Donaustraße 115, 12043 Berlin, Germany, legally represented by its Managing Director, KOUMENI Karmelle ("TowerLingua”, "we”, "our”, "the Platform”).


By registering as a Tutor and offering lessons via TowerLingua, you agree to be legally bound by this Agreement.





1. Independent Contractor Status



  • You acknowledge that you act exclusively as an independent contractor (freelancer) (selbständiger Unternehmer).
  • Nothing in this Agreement shall be construed as creating an employment relationship or Scheinselbstständigkeit under German law.
  • You are free to determine your teaching style, methods, and working hours.
  • You are solely responsible for your own tax obligations, social security contributions, and business registrations.






2. Services



  • Tutors provide online lessons in various subjects, including but not limited to languages, cooking, yoga, and cultural workshops.
  • Lesson formats include:
    • Individual Lessons (1:1)
    • Group Classes (up to 6 Students)
    • Workshops (unlimited participants)

  • Tutors ensure that their services comply with applicable laws and do not infringe intellectual property or third-party rights.






3. Responsibilities of Tutors



Tutors agree to:


  • Deliver lessons punctually and professionally.
  • Provide accurate and truthful profile information.
  • Use lawful and copyright-compliant teaching materials.
  • Treat Students respectfully and avoid harassment, discrimination, or misconduct.
  • Not engage in fraud, misrepresentation, or abusive practices.






4. Prohibited Conduct



Tutors are strictly prohibited from:


  • Soliciting or accepting payments directly from Students outside TowerLingua.
  • Diverting Students away from TowerLingua ("anti-circumvention clause”).
  • Using Student data for purposes other than lesson delivery.
  • Uploading illegal, offensive, or harmful content.



TowerLingua reserves the right to suspend or terminate Tutors in breach of these rules, with forfeiture of unpaid earnings.





5. Compensation, Pricing & Payments



  • Prices displayed on the Platform are final amounts payable by us (TTC, including VAT where applicable).
  • TowerLingua collects payments and transfers the Tutor’s share, after deducting applicable platform fees.
  • TowerLingua does not cover bank transfer fees, PayPal fees, or currency conversion charges. Such costs are borne by the Tutor.
  • Self-billing: TowerLingua issues invoices on behalf of Tutors for lessons delivered. Tutors expressly accept this arrangement.
  • Tutors must declare whether they qualify as Kleinunternehmer under §19 UStG (VAT exemption) or are VAT-registered.
  • Tutors remain solely responsible for reporting and paying all applicable taxes.

6. Intellectual Property



  • Tutors retain exclusive ownership of their teaching materials, lesson plans, and original content.
  • TowerLingua does not claim ownership over Tutor-created content.
  • Tutors grant TowerLingua and Students a limited license to use such materials solely for lesson delivery and participation.






7. Reviews & Ratings



  • Students may post reviews and ratings.
  • TowerLingua may publish these reviews publicly.
  • TowerLingua does not guarantee positive feedback and will only remove reviews if they breach Platform rules (e.g., hate speech).






8. Liability



  • Tutors are solely responsible for the content, quality, and conduct of their lessons.
  • TowerLingua provides only the Platform and payment processing.
  • TowerLingua is not liable for disputes, damages, or claims resulting from a Tutor’s services.
  • Tutors agree to indemnify and hold TowerLingua harmless from third-party claims arising out of their actions.






9. Data Protection



  • TowerLingua processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
  • Tutors must also comply with data protection rules when handling Student data.






10. Termination



  • Tutors may terminate their participation at any time by closing their account.
  • TowerLingua may suspend or terminate a Tutor’s account immediately in cases of breach, misconduct, or reputational risk.
  • Upon termination, TowerLingua shall transfer due earnings up to the termination date, unless withheld for fraud or breach.






11. Force Majeure (

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including höhere Gewalt such as natural disasters, war, strikes, pandemics, or government restrictions.





12. Governing Law & Jurisdiction



  • This Agreement is governed by the laws of the Federal Republic of Germany.
  • The exclusive place of jurisdiction is Berlin, unless mandatory provisions of consumer protection law provide otherwise.






13. Dispute Resolution (VSBG)



TowerLingua is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board under the Verbraucherstreitbeilegungsgesetz (VSBG).





14. Severability (

Salvatorische Klausel

)



Should any provision of this Agreement be or become invalid, the validity of the remaining provisions shall remain unaffected.

In place of the invalid provision, a valid provision shall apply which most closely reflects the intended economic purpose.





15. Entire Agreement



This Agreement constitutes the entire agreement between TowerLingua and the Tutor and supersedes all prior agreements, oral or written.
